J&J affiliate LTL Management filed a bankruptcy plan in New Jersey late on Monday that details how the company intends to pay different types of cancer sufferers in a bankruptcy settlement. J&J is seeking the second time to end more than 38,000 lawsuits filed in bankruptcy, as well as prevent new lawsuits from arising in the near future.

Johnson & Johnson asserts that bankruptcy is the only means to deal with both present and future talc litigations in a definitive manner. Also, it believes that it will be less expensive should there be an element of bankruptcy that puts pressure to settle. The main thrust in this 3rd Circuit decision was this is not a case of the profit-making company that has an entity to assume the legal responsibility and declare bankruptcy – something Congress had in mind when it came to drafting the Bankruptcy Code. But it also said that the subsidiary was not in financial crisis because J&J offered unlimited financing.
So J&J decided to go with the funding unlimited part of the agreement and didn’t make any promises to provide unlimited funding for litigation. The company claims that modified financing arrangements with its subsidiary addresses the concerns of the appellate court, while offering claim payment funds. In the hope that offering victims less money will solve the problem at hand.

Lawyers representing cancer patients who oppose the agreement counter this with what you conclude is countering legal nonsense legal nonsense: J&J fraudulently transferred $50 billion of assets away from LTL Management to circumvent the appeals court’s previous decision. The hyperbole wasn’t spared by the victims’ lawyers, who call it the largest “fraudulent deal ever in United States history.”

In spite of the legal jargon, J&J does not really think this bankruptcy will survive. But it is a way to try and push the $8.9 billion settlement, and to keep pressure on plaintiffs.

April 10, 2023 Update Bloomberg is running an intriguing piece on a law that has been passed that has been passed in New Jersey that is shedding new light on litigation funding in the suit for class actions. Litigation funders Virage Capital Management and TRGP Capital invested in hundreds of claims from Johnson & Johnson (J&J) over talc products in exchange for a percentage of any settlements. J&J has now offered the payment of $8.9 billion to settle any lawsuits.

The involvement of funders is public knowledge because of a New Jersey court rule requiring the release of certain details about funders outside the state. This rule is intended to address the rising calls for the regulation of lawsuit funders.
