April 13, 2023 update: the major update is about the $8.9 billion over 25 year period settlement offered. Johnson & Johnson asserts that bankruptcy is the only way to resolve both current and future talc litigations in a definitive manner. Going back to hundreds of years of American history, the firm argues that bankruptcy benefits all parties as it distributes settlement payments more equitably and effectively than trial courts where some litigants receive significant settlements while others get nothing.
The main thrust in this 3rd Circuit decision was this isn’t a case that involves a profitable company making an entity to assume the legal liability and declare bankruptcy – Congress thought of when drafting its Bankruptcy Code. However, the court also ruled that the subsidiary was not financially distress due to the fact that J&J promised unlimited funding.
So J&J took advantage of the unlimited funding aspect of the agreement and didn’t promise to provide unlimited funding for litigation. The company claims that its new financing agreements with its subsidiary will address appeals court’s concerns, while providing funds for claims. As if offering victims less money will solve the problem at hand.

They counter with legal absurdity: J&J fraudulently transferred $50 billion of assets away from LTL Management to circumvent the appeals court’s previous decision. Hyperbole is not exempt by the victims’ lawyers, who call it the most significant “fraudulent transaction of assets in United States history.”

The involvement of the funders is publicly available because of an New Jersey court rule requiring the release of certain details about funders outside the state.
