Johnson & Johnson asserts that bankruptcy is the only option to resolve both current and future talc-related lawsuits definitively. In a quest to cover more than 400 years in American history, the company claims that bankruptcy benefits all parties because it distributes settlements more equally and effectively than trial courts which are where litigants get significant payouts, while others are left with nothing.
The gist of this 3rd Circuit decision was this is not a matter of an enterprise that is profitable, forming a subsidiary to take the legal responsibility and declare bankruptcy, which is what Congress contemplated when drafting the Bankruptcy Code. However, it also stated the company was in financial distress due to the fact that J&J offered unlimited financing.
Then J&J decided to go with the unlimited funding portion of the contract and didn’t make any promises that it would provide unlimited funds for the litigation. J&J claims that its new financing agreements with its subsidiary addresses the concerns of the appeals court while providing funds for claims. Attorneys representing cancer victims who do not agree with the agreement counter this argument by saying that it is countering legal nonsense with legal absurdity: J&J fraudulently transferred $50 billion of assets from LTL Management to circumvent the appeals court’s decision. Hyperbole did not go unnoticed the lawyers representing victims call it the most significant “fraudulent deal ever in United States history.”
In spite of the legal jargon, J&J does not really think this bankruptcy will survive. It is however a method to push for this $8.9 billion settlement through and maintain pressure on plaintiffs.

The involvement of the funders is public information due to an New Jersey court rule requiring the disclosure of certain information about funders outside the state.
