Johnson & Johnson asserts that bankruptcy is the only option to deal with both present and future talc lawsuits conclusively. In a quest to cover 400 years of American history, the company claims that bankruptcy benefits all parties because it distributes settlements more fairly and effectively than trial courts which are where litigants get significant awards while others receive nothing.
The gist in the 3rd Circuit decision was this is not a case of an enterprise that is profitable, forming subsidiaries to meet the legal responsibility and declare bankruptcy – something Congress contemplated when drafting the Bankruptcy Code. However, the court also ruled that the subsidiary was not financially trouble because J&J offered unlimited financing.

Attorneys representing cancer victims who oppose the agreement counter this by arguing that the plaintiff is a defense against legal nonsense by pointing out legal absurdity: J&J fraudulently transferred $50 billion in assets to LTL Management to circumvent the appeals court’s previous ruling. Hyperbole is not exempt the lawyers representing victims call it the largest “fraudulent move ever in United States history.”
Despite the legal jargon, J&J does not really think this bankruptcy will survive. But it is a way of trying to push this $8.9 billion settlement through and maintain pressure on plaintiffs.
April 10, 2023 update: Bloomberg provides an insightful article on a new law that has been passed in New Jersey that is shedding new light on the funding of litigation in the class action lawsuit. Litigation funders Virage Capital Management and TRGP Capital invested in hundreds of lawsuits from Johnson & Johnson (J&J) concerning talc products in exchange for a percentage of any wins. J&J is now offering to pay $8.9 billion to settle any lawsuits.
The involvement of funders is public information because of a New Jersey court rule requiring the disclosure of certain information about outside funding backers.
